Definitions
Key terms used throughout this document are defined below for clarity and legal precision.
Platform
MARCII's proprietary digital logistics software, website (www.maricii.com), APIs, dashboards, tools, and associated services that facilitate logistics transactions between Users and Suppliers.
User
Freight forwarders, customs brokers, CHAs (Customs House Agents), exporters, importers, and logistics intermediaries who utilize the Platform to search for, request quotes, and book logistics services.
Supplier
Shipping lines, NVOCCs (Non-Vessel Operating Common Carriers), airlines, carriers, truck operators, logistics service providers, or their authorized agents who list services, rates, and availability on the Platform.
Content
All data, rates, schedules, documents, communications, software, source code, algorithms, designs, trademarks, or materials available on or through the Platform, whether provided by MARCII, Users, or Suppliers.
Transaction
Any commercial interaction facilitated through the Platform, including but not limited to quote requests, rate negotiations, bookings, shipment arrangements, documentation exchanges, or payment settlements.
Eligibility & Account Registration
2.1 Eligibility Requirements
To register and use the Platform, you must be:
- A legally registered business entity operating in the logistics, freight forwarding, customs brokerage, or transportation industry
- An authorized representative acting on behalf of such an entity with proper legal authority
- In compliance with all applicable laws, regulations, and licensing requirements in your jurisdiction
- Capable of entering into legally binding contracts under applicable law
2.2 Registration Information
During registration, you represent and warrant that:
- All information provided is accurate, complete, current, and truthful
- You will promptly update your account information to maintain accuracy
- You possess all necessary licenses, permits, and authorizations for your business operations
- Your registration does not violate any laws or third-party rights
2.3 Account Security & MARCII's Rights
You are responsible for:
- Maintaining the confidentiality of your account credentials (OTP verification, passwords, API keys)
- All activities conducted through your account, whether authorized or unauthorized
- Immediately notifying MARCII of any suspected unauthorized access or security breach
Important Notice
MARCII reserves the absolute right to approve, reject, suspend, or terminate any account at its sole discretion, particularly if false information is provided, Terms are breached, or fraudulent activity is suspected. Account termination may occur without prior notice.
Role-Specific Obligations
Users (Freight Forwarders / Customers)
Use the Platform exclusively for legitimate logistics business purposes in compliance with applicable trade laws and regulations
Refrain from manipulating, scraping, reverse engineering, or attempting to extract proprietary data, algorithms, or source code
Ensure all shipments comply with customs regulations, export controls, sanctions, and trade restrictions
Independently verify all quotes, schedules, terms, and conditions directly with Suppliers before committing to Transactions
Suppliers (Shipping Lines / Carriers / NVOCCs)
Provide accurate, up-to-date, and authorized rates, schedules, terms, and service descriptions on the Platform
Honor all confirmed bookings made through the Platform, except in cases of force majeure or circumstances beyond reasonable control
Maintain all required licenses, permits, insurance coverage, and regulatory authorizations for your logistics operations
Acknowledge that MARCII acts solely as a technology intermediary and is not a party to your Transactions with Users
Platform Role & Disclaimer
Critical Notice
MARCII is a digital intermediary and software provider only. We facilitate connections between Users and Suppliers but do not provide logistics services directly.
4.1 What MARCII Does NOT Do
Not a Carrier or Operator
MARCII does not act as a carrier, freight forwarder, NVOCC, customs broker, or logistics service provider
No Physical Operations
MARCII does not own, operate, control, or manage any cargo, vessels, aircraft, trucks, warehouses, or transportation equipment
No Service Guarantees
MARCII does not guarantee shipment acceptance, space availability, transit times, delivery schedules, or service quality
No Liability for Operations
MARCII is not responsible for cargo loss, damage, delays, demurrage, detention, penalties, or any operational failures by Suppliers
No Verification of Accuracy
MARCII does not verify, validate, or guarantee the accuracy of rates, schedules, terms, or information provided by Suppliers
4.2 Transaction Responsibility
All Transactions facilitated through the Platform are directly between Users and Suppliers. You acknowledge and agree that:
- MARCII is not a party to any Transaction and has no contractual relationship with either Users or Suppliers regarding logistics services
- All services, obligations, liabilities, and disputes arising from Transactions are solely between Users and Suppliers
- You use the Platform and engage in Transactions entirely at your own risk and responsibility
- MARCII provides the Platform "as is" without warranties of any kind regarding service availability, accuracy, or reliability
Intellectual Property Rights
5.1 Proprietary Technology & Content
All intellectual property rights in and to the Platform, including but not limited to the following, are the exclusive property of Transit Terminal Aitech Pvt Ltd:
Software & Code
Source code, object code, APIs, SDKs, and all software components
Algorithms & Logic
AI/ML models, pricing algorithms, matching logic, and proprietary calculations
Design & Interface
UI/UX designs, graphics, layouts, wireframes, and visual elements
Branding & Marks
MARCII trademark, logos, brand identity, and associated marks
5.2 Limited License Grant
Subject to your compliance with these Terms, MARCII grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Platform solely for your internal business purposes related to logistics Transactions
- View and download Content strictly for Transaction-related activities authorized by these Terms
- Use MARCII's branding solely as necessary to identify the Platform in accordance with our guidelines
Important: This license terminates immediately upon account termination or Terms breach. All rights not expressly granted are reserved by MARCII.
5.3 Strictly Prohibited Activities
Zero Tolerance Policy
The following activities are strictly prohibited and will result in immediate account termination and potential legal action:
- Copying or Scraping: Extracting, copying, or scraping data, rates, algorithms, or Content through automated means or otherwise
- Reverse Engineering: Decompiling, disassembling, or reverse engineering any software, code, or algorithms
- White-Labeling: Rebranding, white-labeling, or presenting MARCII's Platform as your own product or service
- Sublicensing or Resale: Sublicensing, reselling, or redistributing access to the Platform without written authorization
- Competitive Use: Creating or contributing to competing platforms or services using MARCII's intellectual property
Consequences: Violations will result in immediate account termination, legal action for damages, injunctive relief, and reporting to relevant authorities.
Data, Confidentiality & Security
6.1 Commercially Sensitive Information
You acknowledge that the Platform contains commercially sensitive and confidential information, including but not limited to rates, pricing structures, schedules, capacity data, customer information, supplier details, business strategies, and proprietary algorithms. This information constitutes valuable trade secrets and confidential business information.
6.2 Confidentiality Obligations
You agree to the following confidentiality obligations:
Maintain Strict Confidentiality
Treat all information accessed through the Platform as strictly confidential and proprietary. Do not disclose, share, or publish any such information to third parties without explicit written consent from MARCII and the information owner.
Use Data Solely for Permitted Transactions
Use confidential information exclusively for executing legitimate Transactions through the Platform. Do not use such information for competitive analysis, market research, price benchmarking, or any purpose outside the scope of these Terms.
Implement Security Controls
Implement and maintain reasonable technical, physical, and administrative security measures to protect confidential information from unauthorized access, disclosure, alteration, or destruction. Limit internal access to information on a need-to-know basis.
6.3 MARCII's Monitoring & Audit Rights
MARCII reserves the right to:
- Monitor Platform usage, access patterns, and data handling practices to ensure compliance with these Terms
- Conduct security audits, compliance reviews, and investigations of suspected violations
- Suspend or terminate accounts immediately upon detection of data misuse, security breaches, or confidentiality violations
- Pursue legal remedies, including injunctive relief and damages, for breaches of confidentiality obligations
Fees, Payments & Commissions
7.1 Pricing Models
Free Plans
New users receive a 15-day free trial to view quotes and explore Platform features. After trial expiration, subscription purchase is required for continued access to quote information and booking capabilities.
Subscription Models
Short-term subscription options available:
- 1-day access
- 1-week access
- 1-month access
Transaction-Based Fees
MARCII may charge fees based on specific Transactions, bookings, or services utilized through the Platform. Fee structures will be clearly communicated in your account dashboard or through separate agreements.
Commission-Based Structures
For certain services or Supplier partnerships, MARCII may earn commissions on successful Transactions. Commission rates and terms will be specified in separate commercial agreements where applicable.
7.2 MARCII's Rights Regarding Fees
MARCII reserves the following rights:
- Modify pricing, subscription plans, or fee structures at any time with reasonable notice to Users
- Suspend or restrict Platform access for non-payment of fees, overdue invoices, or payment disputes
- Charge late payment fees, interest, or collection costs for overdue amounts as permitted by law
- Terminate accounts with outstanding payment obligations after providing notice and opportunity to cure
7.3 Tax Obligations
All fees are exclusive of applicable taxes, duties, levies, or government charges. You are responsible for determining and paying all taxes associated with your use of the Platform and Transactions, including but not limited to GST, VAT, sales tax, service tax, customs duties, and withholding taxes. MARCII will invoice applicable taxes where required by law and remit them to relevant authorities.
Prohibited Activities
Critical Warning
The following activities are strictly prohibited and constitute material breaches of these Terms. Violations will result in immediate account termination, legal action, and potential reporting to regulatory authorities.
False or Fraudulent Information
Uploading, submitting, or providing false, misleading, fraudulent, or inaccurate information, including fake documentation, forged credentials, misrepresented business details, or deceptive rates and schedules.
Security Circumvention
Attempting to circumvent, disable, or interfere with Platform security features, authentication mechanisms, access controls, encryption, firewalls, or protective measures. Includes unauthorized access attempts and credential sharing.
Price Manipulation & Collusion
Engaging in price fixing, bid rigging, market manipulation, collusion with competitors, or any anti-competitive practices. Includes coordinating rates, sharing confidential pricing information, or manipulating market conditions.
Automated Tools & Bots
Using bots, scrapers, crawlers, automated scripts, or any automated tools to access, extract, copy, or monitor Platform Content, rates, data, or functionality without express written authorization from MARCII.
Sanctions & Trade Violations
Violating international sanctions, export controls, trade restrictions, embargoes, or anti-money laundering regulations. Includes transactions involving prohibited countries, entities, individuals, or goods under applicable laws.
Brand Harm & Reputation Damage
Engaging in activities that harm MARCII's brand, reputation, goodwill, or business relationships. Includes defamation, disparagement, trademark infringement, unauthorized use of branding, or actions causing reputational damage.
Suspension & Termination
9.1 Immediate Suspension or Termination
MARCII reserves the right to immediately suspend or terminate your account, without prior notice, if:
Terms Breach
You violate any provision of these Terms, including but not limited to prohibited activities, intellectual property violations, or confidentiality breaches
Fraudulent or Unlawful Activity
You engage in fraudulent, illegal, or unlawful conduct, including providing false information, conducting prohibited transactions, or violating applicable laws
Security Risk
Your account poses a security risk, has been compromised, or is being used for unauthorized purposes that threaten Platform integrity or other users' security
Non-Payment
You fail to pay fees, subscriptions, or other amounts due after reasonable notice and opportunity to cure payment defaults
Legal or Regulatory Requirement
Termination is required by law, court order, regulatory directive, or to comply with legal obligations or government requests
9.2 Effect of Termination
Upon account suspension or termination:
- Your license to access and use the Platform immediately terminates
- You must immediately cease all use of the Platform, Content, and MARCII's intellectual property
- You must delete or destroy all copies of Platform Content, data, or materials in your possession
- You remain liable for all outstanding fees, payments, and obligations incurred prior to termination
Important: Termination does not affect accrued rights, payment obligations, intellectual property ownership, confidentiality obligations, limitation of liability, indemnification, or any provisions intended to survive termination.
Limitation of Liability
Legal Liability Limitations
To the maximum extent permitted by applicable law, MARCII's liability is limited as follows:
No Liability for Indirect Damages
MARCII shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:
- •Your use of or inability to use the Platform
- •Loss of profits, revenue, business opportunities, data, or goodwill
- •Business interruption, service delays, or system downtime
- •Third-party claims, actions, or disputes arising from Transactions
- •Errors, inaccuracies, or omissions in Content provided by Users or Suppliers
Maximum Liability Cap
MARCII's total aggregate liability for all claims arising from or related to these Terms or your use of the Platform shall not exceed the total fees paid by you to MARCII in the twelve (12) months immediately preceding the event giving rise to the claim.
No Responsibility for Logistics Operations
MARCII is not responsible or liable for:
- •Cargo loss, damage, theft, destruction, or deterioration during transit
- •Shipment delays, missed connections, or late deliveries
- •Demurrage, detention, storage, or penalty charges imposed by carriers or authorities
- •Customs fines, duties, taxes, or regulatory penalties
- •Supplier performance failures, service quality issues, or contract breaches
- •Disputes, conflicts, or legal actions between Users and Suppliers
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if MARCII has been advised of the possibility of such damages.
Indemnity
Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless MARCII, Transit Terminal Aitech Pvt Ltd, and their affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
Your Use of the Platform
Any claims arising from your access to, use of, or inability to use the Platform, including claims related to Platform functionality, performance, availability, or Content accuracy.
Breach of Terms
Your violation or breach of any provision of these Terms, including prohibited activities, intellectual property violations, or confidentiality breaches.
Law or Third-Party Rights Violation
Your violation of applicable laws, regulations, sanctions, trade restrictions, or infringement of third-party intellectual property, privacy, or contractual rights.
Incorrect or Unlawful Data
Provision of incorrect, false, misleading, fraudulent, or unlawful information, documentation, or data through the Platform, including registration details, shipment information, or Transaction data.
Process: MARCII will notify you of any claim subject to indemnification and may, at its option, participate in the defense. You may not settle any claim without MARCII's prior written consent. This indemnification obligation survives termination of these Terms.
Force Majeure
MARCII shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to events or circumstances beyond its reasonable control (force majeure events).
Force Majeure Events Include:
Natural Disasters
Earthquakes, floods, hurricanes, tsunamis, fires, or other acts of nature
War & Civil Unrest
War, terrorism, riots, civil disturbances, or political instability
Labor Disputes
Strikes, lockouts, labor disputes, or workforce unavailability
Port Congestion
Port closures, congestion, capacity constraints, or vessel delays
Regulatory Actions
Government actions, sanctions, embargoes, or regulatory changes
Power Failures
Power outages, telecommunications failures, or infrastructure disruptions
System Outages
Server failures, hosting provider issues, or technical infrastructure problems
Cyber Incidents
Cyberattacks, DDoS attacks, hacking attempts, or security breaches
Pandemics
Epidemics, pandemics, or public health emergencies affecting operations
During force majeure events, MARCII's performance obligations shall be suspended for the duration of the event. MARCII will make reasonable efforts to resume normal operations as soon as practicable. If a force majeure event continues for more than 30 days, either party may terminate the affected Services upon written notice.
Governing Law & Jurisdiction
Governing Law
These Terms and Conditions, and any disputes arising from or related to them, shall be governed by and construed in accordance with the laws of India.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any conflict of law provisions that would require application of another jurisdiction's laws are expressly excluded.
Exclusive Jurisdiction
Any disputes, claims, or legal proceedings arising from or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in:
Bhubaneswar, Odisha, India
You irrevocably submit to the personal jurisdiction of these courts and waive any objection to venue or inconvenient forum.
Modifications
Right to Revise Terms
MARCII reserves the right to modify, amend, or update these Terms and Conditions at any time at its sole discretion. Modifications may be necessary to reflect changes in:
- Platform features, functionality, or services
- Legal or regulatory requirements
- Business practices or operational policies
- Security, privacy, or data protection standards
Notification & Acceptance
When material changes are made to these Terms:
- • We will update the "Last Updated" date at the top of this page
- • We may notify you via email, Platform notification, or prominent notice on the website
- • Revised Terms become effective immediately upon posting or as specified in the notice
- • Your continued use of the Platform after modifications constitutes acceptance of the revised Terms
It is your responsibility to review these Terms periodically for changes. If you do not agree to the modified Terms, you must cease using the Platform and terminate your account.
